The Canadian software group has acquired the French developer of artificial intelligence systems that detect birds and bats around wind turbines. Financial terms were not disclosed, while founder Henri-Pierre Roche will remain chief executive and continue leading the company.

Volaris Group acquires Biodiv-Wind to expand in wind-farm biodiversity technology

Canada-based Volaris Group has acquired Biodiv-Wind, a French company that combines artificial intelligence, cameras, radar and environmental expertise to reduce collisions between wildlife and wind turbines.

The companies did not disclose the purchase price, financing structure or financial performance of the acquired business. Biodiv-Wind will retain its existing leadership, with founder Henri-Pierre Roche continuing as chief executive.

The buyer is the Toronto-based software investment group owned by Constellation Software and is unrelated to the Mexican airline that also operates under the Volaris name.

The transaction gives Volaris a position in a specialised market connecting renewable energy, environmental regulation and industrial software. Biodiv-Wind’s systems help wind-farm operators monitor birds and bats, deter animals from approaching turbines and, when necessary, reduce turbine speed or temporarily stop the blades.

These functions are becoming part of the operating requirements imposed on wind projects located near migratory routes, protected habitats and areas with a high concentration of sensitive species.

Biodiv-Wind’s main product, SafeWind, analyses live video around operating turbines. Its artificial intelligence models detect and track flying animals, assess the probability of a collision and activate predefined responses according to the level of risk.

The available measures include acoustic deterrence and communication with the turbine’s control system to modify its operation. The objective is to intervene only when the detected risk justifies it, limiting wildlife collisions without stopping electricity production for longer than necessary.

The company also develops AudioBat, which uses acoustic monitoring and artificial intelligence to identify bat activity; XBird Radar, designed for longer-range bird detection; and BirdSentinel, an autonomous system used to study aerial wildlife during the development, permitting or repowering of wind farms.

Its technology combines hardware installed at the site with proprietary software, remote monitoring, environmental analysis and reporting validated by ornithologists. The systems can connect with the supervisory control and data acquisition infrastructure used to manage turbines.

That integration is important for Volaris because it makes Biodiv-Wind’s technology part of the daily operation and regulatory compliance processes of its customers. Wind-farm operators rely on the system not only to collect environmental information, but also to demonstrate compliance with conditions included in their operating permits.

Biodiv-Wind’s technology originated with a patent filed in 2008 for detecting birds approaching wind turbines and preventing collisions through deterrence or turbine shutdown. The company began commercial operations in 2015 and later received financing and support from French regional investors and public innovation programmes.

In 2024, it joined the I-Nov innovation programme, supported by Bpifrance and the French Environment and Energy Management Agency. The initiative finances projects considered capable of contributing to the country’s industrial and environmental development.

Biodiv-Wind currently has more than 700 systems installed, primarily in France but also across other European and Latin American markets. Its technology is compatible with turbines supplied by major manufacturers including Vestas, Nordex, Enercon, GE and Siemens Gamesa.

The company entered Brazil in 2022 and has since increased its activity in Latin America. It has also deployed projects in Chile, including systems designed to monitor birds and bats at a wind farm in the Biobío region.

The acquisition comes as European governments attempt to accelerate the construction and repowering of wind farms while maintaining compliance with biodiversity legislation.

The European Union’s renewable-energy policies require a substantial expansion of wind generation during the remainder of the decade. At the same time, projects that may affect protected habitats or Natura 2000 areas must undergo environmental assessments based on scientific evidence.

European guidance recognises that temporary turbine adjustments can reduce bird collisions, particularly along migratory routes. These measures, which initially depended mainly on human observation, are increasingly being automated through cameras, radar, geofencing and artificial intelligence.

This creates a market for systems capable of distinguishing genuine collision risks from routine animal activity. Detection accuracy has a direct commercial effect: a system that reacts too late may fail to protect wildlife, while excessive shutdowns can reduce electricity production and project revenue.

Biodiv-Wind has built its models using several years of proprietary, annotated environmental data. Volaris intends to support further development of its artificial intelligence and three-dimensional detection capabilities while expanding the company’s commercial reach.

The transaction fits Volaris’ strategy of acquiring software and technology businesses that serve specific industries and hold long-term positions within their customers’ operations.

Volaris is one of the operating groups of Constellation Software, a Toronto-listed company that specialises in acquiring vertical-market software providers. Instead of consolidating its purchases into a single brand, the group generally allows companies to preserve their identity, management and operating autonomy.

Volaris says it owns more than 240 businesses across over 40 vertical markets, with operations in more than 60 countries. Its model is based on permanent ownership: the group acquires companies with the intention of retaining them rather than preparing them for resale.

For Biodiv-Wind, that structure provides access to capital, management experience and an international network without an immediate change in leadership. Roche and his team will continue operating the business, while Volaris will provide support for product development, commercial expansion and possible complementary acquisitions.

The buyer highlighted three characteristics behind the investment: recurring revenue, the integration of Biodiv-Wind’s technology with customer infrastructure and scientific expertise that is difficult to replicate.

Those factors can create high switching costs. Replacing a detection system connected to turbines, environmental permits and years of operating data is more complex than changing a standalone software application.

The acquisition also expands the definition of vertical-market software within the Volaris portfolio. Biodiv-Wind is not a conventional software-as-a-service company because its offering includes cameras, radar, sensors, installation and environmental services. Its value lies in combining those elements through proprietary software and data.

The company’s next stage will depend on its ability to scale that model across countries with different permitting systems, protected species and technical requirements.

France has been its principal market, where detection and shutdown measures have progressively entered the operating conditions imposed on some wind farms. Expansion elsewhere will require adapting the technology and reporting procedures to national regulators, local ecosystems and individual turbine configurations.

Volaris will also need to preserve the scientific credibility of the platform as it accelerates commercial growth. Environmental monitoring systems must demonstrate their detection performance, document their decisions and limit both missed events and unnecessary turbine interruptions.

The acquisition therefore reflects a wider shift in the renewable-energy supply chain. As wind capacity grows, software, environmental data and automated mitigation systems are becoming part of the infrastructure required to operate generation assets.

Volaris is not acquiring wind farms or turbine manufacturing capacity. It is investing in the technology layer that helps those assets remain operational within increasingly detailed environmental rules.

For Biodiv-Wind, the agreement provides a permanent owner with capital and an international presence. For Volaris, it adds a business whose revenues are supported by the simultaneous expansion of renewable energy and the regulatory requirement to protect biodiversity.
